Terms of Service

VireliaVault is an 18+ platform for non-nudity audio-visual creator content. These Terms of Service ("Terms") are a binding agreement between you and the operator of VireliaVault. Please read them carefully. By creating an account, accessing, or using VireliaVault, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Platform.

1. Who we are

VireliaVault (the "Platform", "we", "us", "our") is operated by Mateusz Sikorski Mtsi, a sole proprietorship (jednoosobowa działalność gospodarcza) registered in the Republic of Poland, tax identification number NIP 8291686749, statistical number REGON 520292230, with its registered business address at ul. Jodłowa 68A, 98-220 Zduńska Wola, Poland (the "Operator").

2. What VireliaVault is

VireliaVault is an online marketplace and hosting service that lets independent creators ("Creators") publish audio-visual content and offer it to registered adult users ("Fans", "Users", "you") through memberships, pay-per-view unlocks, tips, and custom orders. We provide the technology, hosting, discovery, and payment facilitation. We are an intermediary and hosting provider: Creators, not the Operator, are responsible for the content they upload. We do not endorse and are not the author of Creator content.

3. Strictly no nudity and no sexually explicit material

VireliaVault is a non-nudity platform. This is a core rule, not a guideline.

The following are strictly prohibited on the Platform:

  • Nudity of any kind, including exposed genitals, anus, or female nipples/areolae, and "implied" nudity where such areas are only nominally covered.
  • Pornography and sexually explicit material, including real or simulated sexual acts, masturbation, or the depiction of sexual arousal in an explicit manner.
  • Content that is primarily intended to cause sexual arousal through explicit sexual conduct.

VireliaVault focuses on ASMR and similar sensory performances. Content must remain clothed and non-explicit at all times. We enforce this rule through human and automated moderation, and we may remove content and suspend accounts that breach it, at our discretion and without notice. Nothing in these Terms permits the upload of the prohibited material above.

4. Definitions

  • "Content" means any video, audio, image, text, poll, message, or other material uploaded, streamed, or transmitted through the Platform.
  • "Creator" means a User who has completed Creator onboarding and offers Content or services for a fee.
  • "Fan" or "User" means any registered person using the Platform.
  • "Membership" or "Subscription" means recurring, monthly access to a Creator's subscriber content.
  • "Pay-per-view" or "PPV" means a one-time purchase that unlocks a specific piece of Content.
  • "Custom order" means a paid request for a Creator to produce a personalised piece of Content.
  • "Tip" means a voluntary payment to a Creator.

5. Eligibility, accounts, and access

5.1 Age requirement

The Platform is intended exclusively for adults. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to register or use VireliaVault. By registering, you represent and warrant that you meet this requirement. We may terminate any account we reasonably believe belongs to a minor.

5.2 Your account

You must provide accurate registration information and keep your login credentials secure. You are responsible for all activity under your account. You may hold only one account unless we agree otherwise. Notify us immediately of any unauthorised use.

5.3 Availability by region

We may restrict or block access from jurisdictions where operating the Platform, or serving this type of content, would create legal or regulatory risk (including age-verification requirements). Access is provided "as available" and we may change, suspend, or withdraw features or the whole Platform.

5.4 Access requires an account

Certain content and features are only available to signed-in Users. Browsing of Creator listings and profiles may be available without an account; viewing individual Content generally requires registration and, where applicable, payment.

6. Content standards and prohibited use

In addition to the no-nudity rule in Section 3, you must not upload, post, or transmit Content or engage in conduct that:

  • Depicts, involves, or sexualises minors in any way (zero tolerance; suspected child sexual abuse material will be removed and reported to the competent authorities).
  • Depicts non-consensual activity, or any person who has not given informed, documented consent to appear.
  • Is illegal, promotes illegal acts, or violates the rights of others (including intellectual property, privacy, or publicity rights).
  • Contains hate speech, harassment, threats, incitement to violence, or content that is defamatory, or that promotes self-harm, extremism, or trafficking.
  • Impersonates any person or entity, or misrepresents your identity or affiliation.
  • Contains malware, attempts to gain unauthorised access, scrapes the Platform, or interferes with its operation.
  • Involves fraudulent payments, money laundering, or evasion of these Terms or of our payment providers' rules.

You are solely responsible for your Content and interactions. We may remove Content and suspend or terminate accounts that breach these standards.

7. Creators

7.1 Independent status

Creators are independent contractors. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between a Creator and the Operator. Creators set their own prices and decide what Content to offer, within these Terms.

7.2 Licence you grant us

You retain ownership of your Content. By uploading Content, you grant the Operator a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (for formatting and delivery), display, and transmit that Content solely to operate, promote, and provide the Platform, and to comply with law. This licence ends when the Content is deleted, except to the extent we must retain copies to comply with legal obligations or resolve disputes.

7.3 Creator warranties

You represent and warrant that: you own or have all rights and consents necessary for your Content; your Content complies with these Terms and applicable law; every identifiable person in your Content is an adult who has consented to its creation and distribution; and your Content does not infringe any third-party rights.

7.4 Payouts and platform fee

Creator payments are processed and paid out by Stripe through Stripe Connect. Creators must complete Stripe's onboarding and identity/bank verification (which Stripe, not the Operator, performs) before publishing paid Content or receiving payouts. The Operator retains a platform fee on Creator earnings (the standard rate is 10%, currently reduced under the launch promotion described in Section 20, or another rate agreed in writing with a specific Creator); the remainder is transferred to the Creator's connected Stripe account and paid out by Stripe on its schedule. Processing fees are handled as described in Section 8. Payouts are available only to Creators whose payout country is supported by Stripe Connect for our platform: the European Economic Area (EEA), the United Kingdom, Switzerland, the United States, and Canada. You choose your payout country when you set up payouts; because Stripe fixes a payout account's country when the account is created, it cannot be changed afterwards, so select the country where your bank account is held. The current list of supported countries is shown during payout setup and may change if Stripe's supported regions change.

7.5 Creator taxes and reporting

Creators are responsible for their own taxes, social contributions, and any registrations required in their jurisdiction. As a platform facilitating third-party sales, we may be required to collect and report Creator information and earnings to tax authorities (for example under EU rules such as DAC7). By using the Platform as a Creator, you agree to provide the information reasonably required for such reporting.

7.6 Records, age, and consent

Before publishing any Content that features a person, you must verify that every such person is at least 18 years old and has given written, informed consent to the creation, publication, and commercial distribution of that Content. You must keep records evidencing that verification and consent (including proof of identity and age) for as long as the Content is available and for at least seven (7) years afterwards, and provide them to us promptly on request. Pending satisfactory records, we may refuse, remove, or suspend Content and withhold related payouts. You are solely responsible for these obligations: the Operator does not verify the identity, age, or consent of persons appearing in Creator Content and relies on your warranties and records.

8. Payments, pricing, and billing

8.1 Payment processing

Payments are processed by Stripe Payments Europe, Ltd. and its affiliates ("Stripe"). By making a payment you also agree to Stripe's applicable terms. We do not store your full card details; these are handled by Stripe. Your use of paid features must comply with Stripe's rules for acceptable content and business.

8.2 Prices, currency, and VAT

Prices are shown before purchase and are set by Creators (subject to any minimums we apply). Depending on your location and applicable law, prices may be subject to VAT or other taxes, which may be added at checkout and remitted through the applicable scheme (for example the EU VAT One-Stop-Shop for digital services).

8.3 One-off purchases and tips

Pay-per-view unlocks and tips are charged once. Access to unlocked Content is granted to your account after successful payment.

8.4 Memberships (recurring subscriptions)

A Membership renews automatically each month at the price shown, using your saved payment method, until cancelled. You can cancel at any time from your account; cancellation stops the next renewal and you keep access until the end of the current paid period. We do not provide refunds for the current period on cancellation (see 8.6). If a renewal payment fails, access may be suspended.

8.5 Custom orders

Custom orders are paid upfront. If a Creator cancels or does not fulfil a custom order, the amount paid is refunded to you in full through Stripe. Delivered custom Content is made available in your Library.

8.6 Refunds and the right of withdrawal for digital content

Purchases on VireliaVault are for digital content and services supplied immediately. Where you are a consumer in the EU (including Poland) or the UK, you have a statutory right to withdraw from certain distance contracts within 14 days. However, for digital content supplied immediately, that right does not apply once performance has begun with your prior express consent and your acknowledgement that you thereby lose the right of withdrawal (Article 16(m) of Directive 2011/83/EU; Article 38(13) of the Polish Consumer Rights Act). By starting to access purchased Content you give that consent and acknowledgement. Outside this, purchases are generally non-refundable except where required by law or expressly stated in these Terms.

8.7 Service fee

A service fee may be added at checkout to applicable purchases (such as pay-per-view unlocks, tips, and custom orders). It is charged by the Operator for providing and operating the platform, including payment processing and related costs. The service fee is shown separately before you confirm payment and forms part of the total you pay. It applies to the relevant transaction regardless of the payment method you choose and is not a surcharge for using any particular payment instrument. A Creator's share is calculated on the listed price of the Content and is not affected by the service fee.

8.8 Merchant of record and chargebacks

The Operator is the merchant of record for transactions on the platform. Initiating a fraudulent chargeback is a breach of these Terms and may result in account termination.

9. Intellectual property

The Platform, including its software, design, trademarks, and branding, is owned by the Operator or its licensors and is protected by law. You may not copy, modify, distribute, or create derivative works of the Platform except as expressly permitted. Creator Content belongs to the respective Creators. You receive only a personal, non-transferable, revocable licence to view Content you have lawfully accessed, for personal, non-commercial use. Downloading, recording, redistributing, or reselling Content is prohibited.

10. Our role, moderation, and illegal content

10.1 We are a host, not a publisher

VireliaVault is a hosting and intermediary service within the meaning of Regulation (EU) 2022/2065 (the "Digital Services Act" or "DSA"). Creators are the providers of their Content; they alone decide what to upload and are solely responsible for it. We store Content at the Creator's direction. We do not create, author, select, endorse, or adopt Creator Content, and Content does not represent the views of the Operator. Any moderation, ranking, formatting, thumbnailing, or discovery we provide is technical, automatic, and passive in nature and does not make us the author or publisher of Content.

10.2 No general monitoring; liability exemption

We are under no general obligation to monitor the Content we store, or to actively seek facts or circumstances indicating illegal activity (Article 8 DSA). In accordance with Article 6 DSA and corresponding safe-harbour rules, we are not liable for Content stored at a Creator's request provided that we do not have actual knowledge of illegal activity or illegal Content and that, upon obtaining such knowledge — for example through a valid notice or an order from a competent authority — we act expeditiously to remove or disable access to it.

10.3 Voluntary moderation does not create liability

The fact that we carry out voluntary own-initiative moderation, use automated tools, or take measures to detect, identify, remove, or disable access to illegal or infringing Content, or to comply with the law, does not by itself mean that we have actual knowledge or awareness of any particular Content, and does not deprive us of the liability exemptions above (Article 7 DSA). We moderate as a matter of good practice and user safety, not as an assumption of legal responsibility for Content we have not actually reviewed and found to be illegal.

10.4 Reporting and notice-and-action

You can report Content or conduct you believe breaches these Terms or the law using the in-product reporting tools or by emailing legal@vireliavault.com. A notice should identify the Content, its exact location (URL), and the reasons it is considered illegal or infringing, in enough detail for us to assess it, together with the notifier's contact details and a good-faith statement of accuracy. We handle notices in a timely, diligent, non-arbitrary, and objective manner; we may remove or restrict Content, limit visibility, suspend or terminate accounts, or withhold related funds; and, where required, we provide affected users with a statement of reasons and information about available redress, including out-of-court dispute settlement and judicial remedies. Copyright complaints are handled under Section 11.

10.5 What we will and will not act on

We act on: (a) valid copyright notices under Section 11; (b) valid notices of allegedly illegal Content submitted under the DSA and applicable law; and (c) orders issued by competent judicial or administrative authorities to act against specific illegal Content or to provide information (Articles 9 and 10 DSA). We are under no obligation to act on, and may decline or refer back, demands that are unsubstantiated, abusive, duplicative, out of scope, or legally invalid. All legal notices and demands must be sent to legal@vireliavault.com (or dmca@vireliavault.com for copyright), which is the Operator's designated electronic point of contact for users and for Member State and Union authorities. We are not obliged to treat as validly served any demand delivered by other means.

10.6 Direct messages, preservation, and authorities

Content sent in direct messages, including attachments and pay-per-view media, may be reviewed and removed by our moderators to detect and prevent illegal content, keep users safe, and enforce these Terms. Uploading or sharing illegal material is strictly prohibited. We may preserve, and disclose to competent authorities, Content and account information where we believe in good faith that the law or a lawful request requires it, or that disclosure is reasonably necessary to prevent harm; and we may report suspected criminal offences — including any content that sexualises minors — to the competent authorities, without incurring liability to you for doing so. Where legally permitted and practicable, we aim to inform an affected Creator of a removal and its reason.

11. Copyright and DMCA

We respect intellectual property rights and respond to valid notices.

  • If you believe Content infringes your copyright, send a notice to dmca@vireliavault.com including: your contact details; identification of the work; identification and location (URL) of the infringing material; a statement of good-faith belief that the use is unauthorised; a statement that the information is accurate and, under penalty of perjury, that you are authorised to act; and your signature.
  • We may remove or disable access to the material and notify the Creator.
  • The Creator may submit a counter-notice with the corresponding statements. We handle notices and counter-notices in line with the U.S. DMCA and the EU notice-and-action framework.
  • Repeat infringers will have their accounts terminated.

12. Suspension and termination

We may suspend or terminate your account, remove Content, or withhold funds where we reasonably believe you have breached these Terms or the law, where required by our payment providers, or to protect the Platform, other users, or third parties. If your account is suspended or banned, you may be shown the reason and, where applicable, the duration at sign-in. You may close your account at any time. Provisions that by their nature should survive termination (including Sections 7.2, 7.3, 7.6, 9, 10, 13, 14, 15, 16, 17, and 18) will survive.

13. Disclaimers

The Platform and Content are provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that Content is accurate, lawful, or fit for any purpose. We are not responsible for interactions between Users and Creators. This Section does not exclude or limit any rights you have as a consumer that cannot be excluded under applicable law.

14. Limitation of liability

To the fullest extent permitted by law, the Operator will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Platform is limited to the greater of the amounts you paid to us in the twelve (12) months before the event giving rise to the claim, or EUR 100. Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, fraud, or your mandatory consumer rights).

15. Indemnity

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Operator and its owner, personnel, and service providers from and against any claim, demand, complaint, regulatory or administrative action, proceeding, liability, damage, loss, fine, penalty, and expense (including reasonable legal fees) brought by any third party or authority and arising out of or relating to: (a) your Content; (b) your use of the Platform; (c) your breach of these Terms; or (d) your violation of any law or of any third-party right, including intellectual-property, privacy, publicity, data-protection, defamation, and consumer-protection rights. This applies in particular to Creators in respect of the Content they publish and the persons appearing in it. On our request, and to the extent permitted by law, you will cooperate in the defence of any such claim; we may assume the exclusive defence and control of any matter otherwise subject to indemnification, and you will not settle any matter affecting the Operator without our prior written consent. Nothing in this Section requires a consumer to indemnify the Operator beyond what mandatory law permits.

16. Governing law, consumers, and disputes

These Terms are governed by the laws of the Republic of Poland and, where applicable, of the European Union, without prejudice to mandatory consumer-protection rules of your country of residence. If you are a consumer, you may bring proceedings in the courts of your country of residence, and you benefit from the mandatory protections of that country's law. Consumers in the EU can also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr. For business users and Creators, disputes are subject to the competent courts for the Operator's registered seat.

To the fullest extent permitted by applicable law, and without limiting any mandatory consumer rights described above, you and the Operator agree that disputes will be brought and resolved on an individual basis only, and that neither party will bring or participate in any class, collective, or representative action. Where you are a consumer protected by mandatory law, this paragraph applies only to the extent that law allows.

17. User-generated content and assumption of risk

You understand that Content is created by Creators and other users, not by the Operator, and that we do not pre-screen all Content. Content may be inaccurate, offensive, or objectionable, and you access it at your own risk. Your dealings and communications with Creators and other users are solely between you and them. We are not a party to, and are not responsible for, those dealings — including the quality, legality, or delivery of any Content or custom order — beyond the payment-facilitation and moderation roles expressly described in these Terms.

18. Miscellaneous

  • Force majeure: we are not liable for any failure or delay caused by events beyond our reasonable control, including outages of hosting, payment, or connectivity providers, cyber-attacks, or acts of authorities.
  • Severability: if any provision is held invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision is replaced by a valid one that most closely reflects its original intent.
  • No waiver: our failure to enforce any provision is not a waiver of it.
  • Assignment: you may not assign your rights or obligations under these Terms without our consent; we may assign these Terms to a successor of our business, or in connection with a merger, acquisition, reorganisation, or transfer of assets, on notice to you.
  • Entire agreement: these Terms, together with the Privacy Policy and the Copyright Policy, form the entire agreement between you and the Operator regarding the Platform and supersede any prior understanding on that subject.
  • Notices: we may give notice through the Platform or by email to your registered address; legal notices to the Operator must be sent to legal@vireliavault.com.
  • Language and headings: these Terms are provided in English, and headings are for convenience only; where a translation is provided and conflicts, the English version prevails to the extent permitted by law.

19. Changes to these Terms

We may update these Terms to reflect changes to the Platform, the law, or our practices. We will post the updated version with a new "Last updated" date and, for material changes, take reasonable steps to notify you. Continued use after changes take effect means you accept the updated Terms; if you do not agree, stop using the Platform.

20. Founding Creator Offer (Launch Promotion)

As a launch promotion, the Platform charges a reduced platform commission of 5% (the Creator retains 95% of the net sales revenue attributable to the platform commission) on all qualifying Creator earnings up to and including 30 November 2026.

From 1 December 2026, the standard platform commission of 10% (the Creator retains 90%) applies automatically to all Creators, unless a different rate has been individually agreed with you in writing — for example, a retained preferential rate for high-performing Creators.

This promotion: (a) applies only to the Platform's own commission and does not change third-party charges, including Stripe payment-processing fees, which are handled as set out in these Terms; (b) does not apply to earnings outside the promotional period; and (c) may be modified or withdrawn on a prospective basis where required by law or to correct a manifest error, without affecting commissions already accrued at the promotional rate. All promotional dates are assessed in the Europe/Warsaw time zone.
